BBH group advises EB holding GmbH on sale of shares in HKD Handelsgesellschaft für Kirche und Diakonie mbH

Naturstrom AG (naturstrom), a leading provider of green electricity and sustainable energy solutions in Germany, acquires 90% of the shares in HKD Handelsgesellschaft für Kirche und Diakonie mbH (HKD) with effect from 01/01/2025. The former sole shareholder, EB Holding (EBH) – a subsidiary of Evangelische Bank eG, continues to hold a 10% share in HKD. The BBH group provided business and legal advice to EBH throughout the entire sales process and was instrumental in assisting EBH to find a suitable strategic partner.

HKD specialises in the supply of sustainable energy to ecclesiastical, church welfare and social institutions and organisations. Furthermore, HKD offers a wide range of services and products in the mobility, telephony and mobile services sectors as well as in other areas (e.g. via its online shop). The new shareholder’s involvement is intended to promote the further development of the existing energy services portfolio as well as the development of new sustainable green electricity and green gas products tailored to the specific needs of ecclesiastical and social institutions and organisations. In order to continue to meet the needs of the church and its social welfare bodies, HKD will retain its trusted structures and its own brand.

“We are delighted that we were able to assist EBH in closing this sale. With naturstrom, EBH and HKD now have a suitable partner by their side to serve the church community”, comments lawyer and BBH partner Wolfram von Blumenthal.

Public auditor and tax advisor Tobias Sengenberger, who is also a partner at BBH, is convinced: “The close cooperation of these three companies will not only significantly contribute to the environmental and climate action of the churches, their welfare and social services organisations, but also drive innovative solutions for these customer groups.”

With more than 700 employees, 7,000 clients and 7 offices, the BBH group is a leading provider of advisory services to energy and infrastructure companies and their customers. Energy and supply companies, particularly public utilities, municipalities and local authorities, industrial companies and international groups are among its core clients. The BBH group assists these and many other companies and organisations with legal, business and strategic advice.
